This Investment & Intellectual Property Disclaimer (Disclaimer) explains the status and limitations of investment-related, venture-development and intellectual property information published by 15.Group, including information concerning 15 Foundry. It applies to visitors who access, review or rely on such information through the 15.Group website.
In this Disclaimer, “15.Group”, “we”, “us” and “our” refer to FIFTEEN NETWORK LTD, trading or operating as 15.Group, as applicable. References to 15 Foundry describe the group’s venture-development and investment initiative; they do not, without express confirmation, identify a separate contracting legal entity.
Website material is provided for general corporate and informational purposes only. It is not investment, legal, tax, accounting or other regulated professional advice, and does not take account of any person’s circumstances or objectives.
Nothing on this website constitutes or forms part of an offer to sell, an invitation to subscribe for or acquire, or a solicitation concerning shares, securities, investment interests or other financial products. No investment transaction may be entered into solely by reference to website content. Any transaction would be subject to separate documentation, eligibility checks and applicable law.
Visitors should obtain independent professional advice before making investment, ownership or intellectual property decisions.
Statements about prospective products, development plans, market opportunities, commercial performance, funding, scalability, expansion or future outcomes may be forward-looking and are inherently uncertain. They are not guarantees or representations of future performance.
Examples, illustrations, concept designs, product descriptions and projected capabilities may change during evaluation, research, development or commercial deployment. We do not warrant that any particular initiative will proceed, obtain funding, launch, generate revenue or achieve a stated result.
15 Foundry considers concepts developed within 15.Group and proposals submitted by external entrepreneurs, companies and other originators. Proposals may be assessed for commercial viability, feasibility, strategic alignment, development requirements and other factors determined by 15 Foundry.
Submission, acknowledgement, review, meetings or correspondence do not create any entitlement to assessment, acceptance, development services, funding or investment. We may decline, suspend or discontinue an assessment or discussion, subject to any binding agreement already in force.
Where an external venture is accepted, 15 Foundry’s contemplated model may involve funding development in exchange for a majority ownership interest in the relevant product, service or company. The scope, valuation, equity allocation, control rights, milestones and other terms are subject to negotiation, due diligence, approvals and definitive written agreements. No ownership transfer or funding commitment arises merely from this website or a proposal submission.
Unless otherwise expressly stated, trademarks, logos, branding, website content, text, graphics, software, platform architecture, designs, documentation, inventions, databases and other materials belonging to 15.Group or its licensors remain the property of their respective owners and are protected by applicable intellectual property laws.
Access to the website does not grant a licence or right to reproduce, modify, distribute, commercialise or otherwise exploit protected materials except as permitted by law or expressly authorised in writing. Brand and product names, including NEXUSS, NEXX, NEMOSS and SKYNEX, are used to identify relevant technologies or initiatives; rights in particular marks are subject to applicable ownership and registration records.
A person submitting a proposal is responsible for ensuring they are authorised to disclose the submitted information and that doing so does not infringe third-party rights, confidentiality obligations or contractual restrictions. Submitters should not provide trade secrets, source code or other sensitive proprietary information unless appropriate written safeguards have first been agreed.
Submission alone does not transfer ownership of the submitter’s pre-existing intellectual property to 15.Group or 15 Foundry. Equally, submission does not give the submitter ownership of 15.Group’s pre-existing or independently developed materials. Any assignment, licence, joint ownership, development ownership or equity-related intellectual property arrangement must be recorded in a separate written agreement.
Submission procedures and any enforceable rights or obligations arising from a submission should be governed by separately published Venture Submission Terms, where applicable. If no such terms have been accepted, the submission should not be treated as creating a binding development or investment relationship.
Unless a separate non-disclosure agreement or other binding written confidentiality commitment expressly applies, the act of sending a proposal or communicating with 15.Group does not, by itself, establish a contractual confidentiality obligation. This statement does not exclude confidentiality duties that may arise independently under applicable law.
15.Group and 15 Foundry may already be considering, developing or receiving concepts that resemble a submitted proposal. Similarity alone does not establish copying, misuse or entitlement to compensation. This clause does not authorise infringement of another party’s intellectual property or misuse of information protected by law or binding agreement.
References to third-party technologies, products, APIs, software, research or trademarks do not imply ownership, endorsement, partnership or a licence unless expressly stated. Third-party rights, licensing conditions and contractual restrictions continue to apply.
Anyone proposing to incorporate third-party assets into a venture or product must identify relevant ownership, licence, consent and usage restrictions during due diligence and before any agreed deployment.
Technology development and venture investment carry technical, regulatory, financial, intellectual property, cybersecurity, operational and market risks, including the possibility of partial or total loss of invested capital. Any party considering a transaction must conduct its own due diligence and obtain appropriate advice.
Website information may be incomplete, indicative or superseded. While we aim to present information responsibly, we do not guarantee its completeness, accuracy or continued availability, to the extent permitted by applicable law.
Viewing the website, contacting 15.Group, submitting a form, discussing a venture or receiving preliminary feedback does not by itself establish a partnership, joint venture, agency, fiduciary relationship, employment relationship, funding commitment, licence or binding agreement.
Any binding obligation must arise from an authorised, definitive written agreement or otherwise under applicable law. No person should incur expenditure or make commitments on the assumption that a proposal will be accepted or funded.
To the fullest extent permitted by applicable law, 15.Group disclaims liability for decisions made solely in reliance on general website information or for losses arising from inaccuracies, omissions or changes in indicative investment or technology information.
Nothing in this Disclaimer excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or affects mandatory statutory rights. Any enforceable agreement between parties will govern the matters expressly covered by that agreement.
This Disclaimer should be read alongside the 15.Group Privacy Policy, Website Terms of Use, Cookie Policy and, where relevant, Venture Submission Terms and any specific transaction or confidentiality agreements. Personal information submitted through website forms is handled under the applicable Privacy Policy.
Where a separately executed agreement conflicts with this general website Disclaimer, the executed agreement governs the subject matter of that conflict, subject to applicable law.
This Disclaimer and non-contractual matters arising from use of the website are intended to be governed by the laws of [INSERT GOVERNING JURISDICTION], subject to mandatory laws that apply irrespective of this clause. Courts with jurisdiction will be determined under applicable law and any valid jurisdiction agreement.
The governing law and forum must be confirmed against the registered operating entity and the Website Terms of Use before publication.
We may update this Disclaimer to reflect changes in our business, website content, legal requirements or venture-development arrangements. The effective or review date shown above should be updated when revisions are published.
