Effective date: 12th Ocrober 2026 | Version: 1.0
Website: https://15.group/venture-submission-terms/
IMPORTANT: These terms govern proposals submitted to 15 Foundry. Please read them before submitting. They do not constitute an offer of investment, a promise of confidentiality or an agreement to develop or fund any venture.
These Venture Submission Terms (“Terms”) apply to proposals, concepts, business plans, pitch materials, demonstrations and other information (“Submissions”) provided through the 15 Foundry submission process, associated forms or other channels expressly designated for venture proposals. “15 Foundry”, “we” and “us” refer to FIFTEEN NETWORK LTD, trading or operating as 15 Foundry within the 15.Group business portfolio (“Company”). Registered address: 12 Hatherley Road. Sidcup, Kent. England. DA14 4DT. These Terms supplement the website Terms of Use and Privacy Policy. Where a separately signed agreement expressly conflicts with these Terms, that agreement prevails for its subject matter.
You must be at least 18 years old and legally capable of agreeing to these Terms. If submitting on behalf of a company or another person, you confirm that you have authority to do so and to provide the materials. Do not submit information that you are prohibited from sharing by law, contract or duties owed to others.
15 Foundry considers ventures originating within 15.Group and proposals from external entrepreneurs and businesses. Assessment may consider commercial viability, technical feasibility, strategic alignment, intellectual property, regulatory requirements, funding needs and execution risks. We may request further information, meet applicants, conduct diligence or discontinue a review at our discretion, subject to applicable law.
Receipt, acknowledgement, discussion, review or shortlisting of a Submission does not oblige us to evaluate it within any timeframe, provide feedback, maintain negotiations, invest, fund development, provide services or enter any agreement. We may decline a Submission without giving reasons. No applicant is entitled to reimbursement of submission or preparation costs unless expressly agreed in writing.
You confirm that, to the best of your knowledge, the Submission is accurate in all material respects, is not knowingly misleading, and does not infringe third-party rights. You must identify material third-party licences, ownership interests, restrictions, disputes or encumbrances relevant to the proposal. You remain responsible for obtaining necessary permissions and for promptly correcting material inaccuracies.
You retain ownership of intellectual property that you lawfully own before submission. Submission alone does not assign or transfer ownership of your patents, copyrights, trade marks, designs, trade secrets or other proprietary rights to the Company. Equally, you acquire no rights in any Company or third-party intellectual property through the submission process.
By submitting materials, you grant the Company and its professional advisers, personnel and relevant group entities a non-exclusive, royalty-free permission to receive, store, copy, internally circulate and assess the Submission solely for evaluation, related diligence, recordkeeping and compliance purposes. This permission does not authorise public commercial exploitation of your protected materials. Any broader licence or transfer must be agreed separately in writing.
A Submission is not automatically confidential, and submission does not create a non-disclosure agreement, fiduciary duty or duty to keep ideas secret. Do not include trade secrets, unpublished patent-enabling details, passwords, personal data you are not authorised to disclose or other highly sensitive material unless an appropriate written confidentiality arrangement is in place. Where a separate non-disclosure agreement has been signed by an authorised Company representative, its terms govern covered information.
The Company and other applicants may have developed, received, considered or independently develop ideas, products or technologies similar to your Submission. These Terms do not prevent legitimate independent development or use of information lawfully obtained from other sources. Nothing in this section authorises infringement of your enforceable intellectual property rights or breach of an applicable signed confidentiality agreement.
If a venture is selected for further consideration, 15 Foundry may propose development funding, commercial support or other resources in exchange for a negotiated majority ownership interest in the relevant product, service, venture or company. The scope of funding, valuation, equity allocation, governance, intellectual property treatment, milestones, founder rights and exit provisions are not predetermined by these Terms and would require due diligence, internal approvals and separately executed definitive agreements. No investment is assured.
You may be asked to provide evidence of identity, corporate standing, beneficial ownership, intellectual property ownership, financial position, compliance and other relevant matters. You agree to provide information lawfully and accurately if you choose to proceed. We may use appropriately authorised professional advisers and decline to proceed if diligence is incomplete or unsatisfactory.
Submission or preliminary discussion does not create a partnership, joint venture, agency, employment relationship, fiduciary relationship or obligation of exclusivity. No person may bind the Company to an investment, confidentiality or commercial commitment without a written agreement executed by an authorised signatory.
You may request withdrawal of your Submission by contacting [INSERT CONTACT EMAIL OR CONTACT PAGE]. Withdrawal will stop prospective evaluation where reasonably practicable but may not reverse reviews already undertaken, remove materials held under a lawful retention obligation or override rights granted under a separately executed agreement. Personal information is handled under our Privacy Policy and applicable data protection law.
Personal information supplied with a Submission will be processed for proposal administration, communications, evaluation, due diligence and related lawful purposes in accordance with the 15.Group Privacy Policy. Do not submit third-party personal information without a lawful basis and appropriate notices. Any cross-border handling will be subject to applicable legal requirements.
To the fullest extent permitted by applicable law, the Company does not accept liability for an applicant’s costs, lost opportunities, anticipated profits or decisions made in reliance on the prospect of acceptance or funding. Nothing in these Terms excludes or restricts liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation, or limits statutory rights that cannot be waived. Any additional limitation is subject to the governing law confirmed below.
We may update these Terms from time to time. The version presented and accepted when a Submission is made will ordinarily govern that Submission, unless a later version is expressly agreed or a mandatory legal requirement applies. Material changes to an ongoing evaluation may be communicated where appropriate.
These Terms are governed by the laws of [INSERT GOVERNING JURISDICTION]. Subject to mandatory applicable law, the courts of [INSERT COURT JURISDICTION] will have jurisdiction over disputes arising from them. Applicants should obtain independent legal, tax and financial advice before entering any investment or equity transaction.
For questions concerning these Terms or a Submission, use the official 15.Group contact page at https://15.group/. Related documents include the 15.Group Privacy Policy, Website Terms of Use and Investment & Intellectual Property Disclaimer. These documents should be read together, subject to the precedence of separately executed agreements.
Before a proposal is transmitted through the online form, the applicant should be required to affirmatively select an unchecked acceptance box linked to the current version of these Terms. The form should retain a record of the accepted version and submission timestamp. Suggested checkbox text: “I confirm that I am authorised to submit this proposal and have read and agree to the Venture Submission Terms.”
